Please read these Terms of Service (“Terms”) carefully before using NoteFlow. By downloading, installing, or using NoteFlow, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Lazy Man Studios (“we,” “us,” or “our”) regarding your use of NoteFlow, a privacy-first offline AI note-taking application for Windows.

2. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use NoteFlow for personal or business use on Windows devices that you own or control.

You may not:

• Modify, reverse engineer, decompile, or disassemble NoteFlow
• Rent, lease, lend, sell, redistribute, or sublicense NoteFlow
• Use NoteFlow for any illegal purpose or in violation of any applicable laws
• Remove or alter any proprietary notices or labels on NoteFlow

3. Free and Pro Versions

NoteFlow is offered in two tiers:

• Free tier: Core features including local transcription, AI note enhancement, meeting history, and export are available at no cost, subject to a 30-minute recording cap per meeting.
• Pro tier: Unlocks unlimited recording length, advanced AI models, full Notebooks access, WhatsApp AI Bot, and priority support. Pro is available via a subscription billed through the Microsoft Store at $0.99/month or $9.99/year.

Subscription terms, billing, and cancellation are governed by the Microsoft Store terms of sale. We do not process or store your payment information.

4. Privacy and Data

NoteFlow operates entirely on your local device. We do not collect, store, or process your audio, transcripts, notes, or documents. Please refer to our Privacy Policy for complete details.

You are responsible for maintaining the security of your device and for any data loss that occurs due to device failure, uninstallation, or other local events.

5. AI-Generated Content

NoteFlow uses on-device AI to generate transcripts, summaries, and responses. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying all AI-generated output before relying on it for professional, legal, or medical decisions.

6. WhatsApp Bot Usage

The WhatsApp AI Bot feature connects to your existing WhatsApp account. You are solely responsible for ensuring that your use of this feature complies with WhatsApp’s Terms of Service and applicable laws. You agree to use the whitelist feature to control which contacts can interact with the bot and acknowledge that misuse of this feature may result in restrictions from WhatsApp or Microsoft.

7. Intellectual Property

NoteFlow and all related content, including but not limited to software, logos, designs, and documentation, are the intellectual property of Lazy Man Studios and are protected by copyright and other laws. You may not use our trademarks without prior written consent.

8. Disclaimer of Warranties

NoteFlow is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the app will be uninterrupted, error-free, or secure, or that any defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, Lazy Man Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of NoteFlow, even if we have been advised of the possibility of such damages.

10. Termination

We reserve the right to terminate or suspend your license to use NoteFlow at any time, with or without cause, without notice. Upon termination, you must cease all use of NoteFlow and delete all copies from your devices.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lazy Man Studios is established, without regard to its conflict of law provisions.

12. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on this page. Your continued use of NoteFlow after any changes constitutes your acceptance of the revised Terms.
